1. Who I am and how to contact me
The services are provided by Simone Giorgiani Lugnan, a self-employed professional under the Italian flat-rate tax scheme, with business address at Via Galvani 18, 34074 Monfalcone (GO), Italy, VAT no. 01395910324. Email simone@sgl.studio, certified email (PEC) [nome@pec.it], phone +39 328 147 0561. I do not subscribe to any codes of conduct.
2. Definitions
- Consumer: an individual buying for purposes outside their trade, business, craft or profession.
- Business client: anyone buying in the course of their business (company, professional, organisation).
- Custom videos: videos made on request, including with artificial intelligence tools, and editing and filming services.
- Sessions: calls, strategy sessions, audits, training and support on AI, automation, growth and websites, including 1:1 sessions for individuals.
- Projects: automations, AI projects, Meta ads management, landing pages, websites and their upkeep, carried out under an accepted quote.
- Order page: the personal page, reached through a private link, where you follow your order, see the preview and download the video.
3. How the contract is made
- The request form guides you through five steps. Before sending, you see a full summary and can correct any detail.
- By pressing “Order with obligation to pay” you make a purchase offer and pay on Mollie’s secure page: by card, the amount is held but not charged; with the other methods it is charged straight away.
- Within 48 working hours I review the request. If I accept it, I send you the order confirmation by email, with these Terms, the summary and the text of the requests and statements you ticked: from that moment the contract is made and, if you paid by card, the amount is charged. If I can’t accept it (for example content that isn’t allowed or timing that doesn’t work), I release the hold or, if you had already paid, refund you in full with the same method within 14 days.
- For custom projects, including automations and websites, I send you a quote: the contract is made when you accept it and pay the [amount / deposit] shown.
- The contract is in Italian [or English on request]. I keep it in my systems and you can view it on your order page.
4. Prices and payments
- Prices are final. I work under the Italian flat-rate tax scheme: my invoices carry no VAT (Art. 1(54–89), Italian Law 190/2014). The €2 stamp duty due on invoices over €77.47 is already included in the price.
- For business clients, invoices are not subject to withholding tax (Art. 1(67), Italian Law 190/2014).
- Payments are handled by Mollie B.V.: cards, Apple Pay, Google Pay, PayPal, Satispay, Bancomat Pay and Klarna. I don’t see or store the full details of your payment method.
- Once paid, I issue an electronic invoice through the Italian Exchange System (SdI) and send you a courtesy copy.
- Meta ads management is paid monthly, with a minimum of 3 months; you pay the ad budget directly to Meta. Website care is paid monthly [and can be cancelled with 30 days’ notice].
- Any promotion clearly states its duration, conditions and final price; I don’t use fictitious reference prices.
- For business projects, the payment terms in the quote apply.
5. The Custom video service
5.1 What you get
I make the video according to the package chosen and the details in the form. Because I also use generative AI tools, style and details may differ from the examples: the video will still meet the agreed features, meaning format, length, main content and the files you provided.
5.2 Timing
Timing runs from the order confirmation and receipt of all the files needed: 3 to 5 working days for standard delivery, depending on the package, and 48 working hours for the preview with express delivery. If I foresee a delay I tell you straight away; if delivery by a date is essential to you (for example a party) and you said so in the form, you can cancel the order with a full refund if I miss the date.
5.3 Preview and revisions
You get a watermarked preview on your order page. 2 rounds of changes are included, to be requested within [7] days of each preview. Changes are requests consistent with the original brief (music, cuts, text, pace, order of scenes); a different idea or new files count as a new request. Extra rounds: €[X] each.
5.4 Delivery
Once you approve, I upload the final video to your order page, downloadable through a personal link for 30 days, as an MP4 file (H.264) compatible with smartphones, computers and social networks. Other formats on request. If you don’t reply within [14] days of the last preview, I deliver the final version of that preview. I recommend saving a copy straight away: after that period the file is deleted, as explained in the privacy policy.
6. Your files and your statements
- You confirm that you own the rights to the files you upload or have permission to use them, and that you have the consent of any recognisable people to use their image and voice (Art. 10 Italian Civil Code, Arts. 96–97 Italian Law 633/1941); for minors, the consent of whoever holds parental responsibility.
- You are responsible for untrue statements and any resulting damage, including towards third parties.
- I may ask you to prove consent and pause the work until I receive it.
- I only accept the formats listed in the form. Files are checked and scanned with antivirus; non-compliant files are rejected and deleted.
7. Content not allowed
I don’t make videos that:
- portray or imitate real people, voice included, without their consent, or public figures;
- have sexual content, involve minors inappropriately, or are violent, offensive, discriminatory or defamatory;
- could mislead people into believing that people, places or events are real, including political or election propaganda;
- infringe copyright, trademarks or other third-party rights;
- are meant to commit crimes, fraud or harassment.
I may refuse a request or stop work that falls into these cases. If I refuse before starting, you pay nothing; if I discover the breach during the work, I refund the part not carried out, without prejudice to compensation for any damage.
8. Use of artificial intelligence and transparency
- I use AI tools under my control: creative choices and final checks are mine. The up-to-date list of tools is on the How I use AI page, as required by Art. 13 of Italian Law 132/2025.
- How I deliver the video. I tell you in writing, on delivery and in the file’s metadata, that the video contains elements generated or altered with AI (Art. 50 of Regulation (EU) 2024/1689, the AI Act). The video has no watermarks. Only if it realistically portrays real people, places or events that could appear authentic do I add a discreet end card “Made with AI”; for purely private use you can also ask me for a version without the card.
- When you publish, the label is up to you. If you publish or share the video, you undertake to state clearly that it was generated or altered with AI, for example with the “AI-generated content” label offered by Instagram, Facebook, TikTok and YouTube or with a line in the description; not to remove the end card, where there is one; and not to publish the version without the card. You are responsible for the consequences if you don’t keep this commitment.
- You are responsible for how you share the video. Remember that under Italian law sharing AI-generated or AI-altered content that unjustly harms a person without their consent is a crime (Art. 612-quater Italian Criminal Code).
9. Rights in the video
- On payment you receive a non-exclusive, perpetual, worldwide licence to use the final video: for personal use with the standard packages, and also commercial use with the “Commercial use” option or a dedicated quote.
- The parts of the video protected by copyright remain mine unless otherwise agreed in writing. Italian law protects works of human creativity even when made with the help of AI (Art. 1 Italian Law 633/1941): automatically generated parts may not be protected, and the licence covers them to the extent that rights exist.
- Music, fonts and stock elements remain subject to the licences of their owners; commercial use includes the licences required.
- I keep the rights to pre-existing material, templates and know-how.
- I only show the video in my portfolio if you give consent, which you can withdraw at any time.
10. Right of withdrawal (consumers only)
- You have 14 days from the conclusion of the contract to withdraw without giving any reason (Arts. 52 ff. of the Italian Consumer Code).
- Immediate start. If in the form you expressly ask for work to start straight away, you lose the right of withdrawal when the final video is made available to you with the download link, which completes the service and starts the supply of digital content (Art. 59(1)(a) and (o) of the Italian Consumer Code). If you withdraw after I have started, you pay an amount proportionate to the work done until you notified the withdrawal (Art. 57(3)).
- How to withdraw: send me the model withdrawal form or any other clear statement by email or certified email (PEC). You can also exercise the right of withdrawal online with the “Withdraw from the contract here” function, available from every page of the site and from your order page. In that case I send you, without undue delay, an acknowledgement of receipt on a durable medium (email), with the content of your statement and the date and time it was sent (Art. 54-bis of the Italian Consumer Code).
- Refund: within 14 days of the withdrawal, using the same payment method, at no cost to you, minus any amount proportionate to the work done.
11. Legal guarantee of conformity
For consumers, the final video, as digital content, is covered by the legal guarantee of conformity (Arts. 135-octies ff. of the Italian Consumer Code): I am liable for lack of conformity that becomes apparent within two years of delivery. If the video does not match what was agreed, you can ask me to bring it into conformity and, if that is not possible or doesn’t happen within a reasonable time, a price reduction or termination of the contract. Write to me at simone@sgl.studio describing the problem.
12. Sessions and projects
- Booking and payment. Calls are booked online, at the times shown in the calendar, from at least 48 hours up to 4 weeks ahead, and take place on Google Meet: you get the invite with the link by email. The intro call is free and reserved for VAT-registered businesses, one per company: to book it you need the company name, VAT number, phone and website or business page. It is a request, which I confirm within 24 hours after checking the details; I may decline it if the details turn out to be incorrect. Paid sessions and 1:1 sessions for individuals are paid online when you book: the slot is confirmed by payment. Audits, training, projects and ongoing support follow the accepted quote, which prevails over these Terms.
- Rescheduling and cancellations. You can reschedule or cancel free of charge up to 24 hours before, from the link in the email: if you cancel in time I refund you in full. After that, the session remains payable [or you can reschedule it once], without prejudice to consumer rights.
- WhatsApp assistant. On WhatsApp an AI assistant replies first, and tells you so straight away. Its answers are for information only: the contract is only made through the site or a written quote. You can ask to talk to me at any time.
- Consumers and withdrawal. If you book as a consumer a session taking place within 14 days, I ask you to expressly request early performance: after the session the right of withdrawal can no longer be exercised (Art. 59(1)(a) of the Italian Consumer Code). Until then you can withdraw with the “Withdraw from the contract here” function.
- Nature of the service. I undertake to work with diligence and skill (an obligation of means). I cannot guarantee financial or advertising results, which also depend on the market, the offer, the budget and the client’s choices. You pay the ad budget directly to the platforms, under their terms.
- Websites. For landing pages and websites the quote sets out pages, content, timing and the revisions included. On delivery and once paid in full you get access to the site and the content editor; the domain, hosting and external services stay in your name, wherever possible.
- Confidentiality. I treat the information I receive as confidential and use it only for the job. On request I sign a non-disclosure agreement (NDA).
- Use of AI in sessions. I use AI tools as support (research, analysis, drafts). The intellectual work, assessments and responsibility remain mine; I state the tools used in the proposal or on How I use AI (Art. 13 Italian Law 132/2025).
- Your customers’ data. If for a project I process personal data controlled by your company, the data processing agreement in the annex applies.
13. Liability
I am liable for damage caused by my fault within the limits of the law. Towards business clients my liability is limited to the amount paid for the service concerned, except in cases of wilful misconduct or gross negligence. I am not liable for damage due to incorrect files or information supplied by the client, use of the video contrary to these Terms, or outages of third-party services beyond my control. Nothing in these Terms limits the rights the law grants to consumers.
14. Complaints and dispute resolution
For any complaint write to me at simone@sgl.studio: I reply within [7] working days. I do not subscribe to any alternative dispute resolution (ADR) body. If the complaint is not resolved, I tell you by email which ADR bodies are competent and whether I intend to use them (Art. 141-sexies of the Italian Consumer Code). The European ODR platform closed on 20 July 2025.
15. Governing law and jurisdiction
Italian law applies. For consumers, the competent court is that of the consumer’s place of residence or domicile (Art. 66-bis of the Italian Consumer Code), without prejudice to more favourable rules of the country where the consumer lives. For business clients, the Court of Trieste has exclusive jurisdiction.
16. Changes to the Terms
I may update these Terms. Each order is governed by the version in force when it is sent, which you receive with the confirmation.
Annex · Data processing agreement (business clients)
When, to make a video or carry out a project, I process personal data controlled by the business client, I act as processor under Art. 28 GDPR and undertake to:
- process the data only for the job and according to the client’s documented instructions;
- ensure the confidentiality of authorised persons and adopt appropriate security measures (Art. 32 GDPR);
- use sub-processors only with the client’s general authorisation; they are listed in the privacy policy and the client can object to changes;
- help the client respond to data subject requests and handle any breaches, notifying them without undue delay;
- delete or return the data at the end of the service, subject to legal obligations;
- make available the information needed to show compliance with these obligations.
For automation projects involving the client’s customer data we sign a dedicated agreement, setting out the type of data, duration and specific measures.
